1. Accounts & Access

  • You must provide accurate registration information and maintain the security of your credentials.
  • You are responsible for all activities under your account and for maintaining appropriate access controls for your users.
  • You must promptly notify us of any unauthorized access or suspected security incident.

2. Acceptable Use

  • Do not use the Services for unlawful, harmful, or infringing purposes.
  • No attempts to access data of other tenants or users without authorization.
  • No reverse engineering, scraping at scale, or circumventing security or rate limits.
  • Compliance with all applicable laws and regulations (including HIPAA) is required.

3. Subscriptions, Billing & Trials

  • Services are provided on a subscription basis; fees and terms are presented during signup or in an order form.
  • Unless otherwise stated, fees are non-refundable.
  • We may modify pricing or plans with prior notice for future billing cycles.

4. Data Ownership & License

You retain ownership of data you submit to the Services, including PHI. You grant Titan EMR Solutions a limited, non-exclusive license to host, process, and transmit such data solely to provide and support the Services. You are responsible for obtaining all necessary permissions to submit data and for its accuracy.

5. HIPAA & BAA

Where the Services involve PHI, Titan EMR Solutions acts as a Business Associate and will execute a Business Associate Agreement (BAA) with covered entities or their business associates. In the event of a conflict between these Terms and a signed BAA, the BAA will control with respect to PHI.

6. Intellectual Property

The Services, including all software, features, and content, are owned by Titan EMR Solutions, LLC or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Services.

7. SMS Communications

By providing a phone number to Titan EMR Solutions or through Titan ChiroCHART, you consent to receive service-related SMS messages from us, which may include:

  • Appointment reminders and confirmations
  • Account, security, and system notifications
  • Customer support and service updates

Message frequency may vary. Message and data rates may apply.

Opt-out: You can opt out at any time by replying STOP. After you opt out, you may receive a final confirmation message and we will stop sending SMS messages to that number.

We do not sell phone numbers and we do not share phone numbers with third parties for their own marketing purposes. For additional details, please review our Privacy Policy.

8. Disclaimers

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, Titan EMR Solutions shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to the Services, even if advised of the possibility of such damages.

10. Suspension & Termination

We may suspend or terminate access to the Services immediately if you materially breach these Terms, create security risks, or use the Services in a manner that could subject us or others to liability. Upon termination, you remain responsible for unpaid fees, and certain provisions (e.g., IP, disclaimers, limitations) will survive.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California, and the parties consent to personal jurisdiction and venue there.

12. Changes to the Terms

We may update these Terms from time to time. The “Last Updated” date reflects the latest revision. Continued use after changes take effect constitutes acceptance of the updated Terms.
